1. Agreement to Terms

By accessing or using Apex Media's services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.

2. Services Description

Apex Media provides professional website design, development, hosting, and maintenance services. Our services include:

• Custom website design and development
• Website hosting and management
• Ongoing maintenance and updates
• SEO optimization services
• Technical support and consultation

3. Payment Terms

Payment is required monthly or as agreed upon in your service package. All fees are non-refundable unless otherwise stated. We reserve the right to suspend services for non-payment after reasonable notice.

For all website design and development projects:

• 50% deposit due before project commencement (non-refundable)
• The project timeline begins after the deposit is received
• 25% due upon approval of the initial design or demo
• 25% due before the final launch or transfer of the website
• All invoices are issued via email and payable within 7 days of receipt
• Late payments beyond 7 days may incur a 5% late fee

For ongoing monthly services:

• Monthly payments are due on the 1st of each month
• Late payments may incur additional fees
• Services may be suspended for accounts 15 days past due

For ongoing management, hosting, and updates:

• Monthly management fee due on the 1st of each month, payable in advance
• Payment covers maintenance, updates, and technical support
• Early payment for 6 or 12 months may qualify for a discount (details available upon request)

4. Cancellation Policy

You may cancel your service at any time with 30 days' written notice. Upon cancellation:

• You remain responsible for payment through the end of your notice period
• Website files and content will be made available for download
• Hosting services will terminate at the end of the paid period
• No refunds will be issued for partial months or unused services

5. Client Responsibilities

Clients are responsible for:

• Providing accurate and timely content, images, and materials
• Ensuring all provided content does not infringe on third-party rights
• Maintaining confidentiality of login credentials
• Timely communication regarding changes or issues
• Payment of all fees as outlined in the service agreement

6. Intellectual Property

Upon full payment, clients receive ownership of their website design and content. However:

• Apex Media retains rights to use website designs in our portfolio
• Pre-existing code, frameworks, and templates remain our property
• Third-party assets are subject to their respective licenses
• Client-provided content remains the property of the client

7. Warranties and Disclaimers

We provide our services with reasonable skill and care. However, we make no warranties regarding:

• Uninterrupted or error-free operation
• Specific search engine rankings or traffic levels
• Compatibility with all devices or browsers (though we strive for maximum compatibility)
• Results or outcomes from using our services

8. Limitation of Liability

To the maximum extent permitted by law, Apex Media shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the amount paid by you for services in the three months preceding the claim.

9. Service Level Agreement

We strive to maintain 99.9% uptime for hosted websites. In the event of extended downtime:

• We will work diligently to restore service as quickly as possible
• You will be notified of any planned maintenance
• Credits may be issued for prolonged unplanned outages

10. Modifications to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services constitutes acceptance of the modified terms.

11. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
